A Certificate of Revival of Delaware Limited Partnership is a document that is filed with the Delaware Secretary of State in order to reinstate a Delaware Limited Partnership (DLP) that has been administratively dissolved due to the failure of the partners to file an annual report or pay an annual tax. This document serves as a legal notice of the partnership's intent to resume business activities in Delaware. The Certificate of Revival includes the name of the DLP, the date of the dissolution, the date of the revival, the street address of the partnership's principal office, and the name and address of the General Partner. There are two different types of Certificate of Revival of Delaware Limited Partnership: a Certificate of Revival of a Domestic Limited Partnership and a Certificate of Revival of a Foreign Limited Partnership. A Certificate of Revival of a Domestic Limited Partnership is filed by a partnership that has been administratively dissolved, and a Certificate of Revival of a Foreign Limited Partnership is filed by a partnership that is registered in a different state but has been administratively dissolved in Delaware.
