A Delaware Certificate of Conversion From Limited Liability Partnership To Limited Liability Company is a document that is filed with the Delaware Secretary of State to convert a limited liability partnership (LLP) to a limited liability company (LLC). This document is used by an LLP to restate their business structure from a partnership to a corporation. The filing of the Certificate of Conversion allows the LLP to become an LLC, while keeping the same name and remaining in the same jurisdiction. The Certificate of Conversion must include the name of the LLP, the date on which the conversion will take effect, the name of the LLC, the address of its registered office, the name of its registered agent, the name and address of each person who signed the Certificate of Conversion, and the signature of an authorized representative of the LLP. The Delaware Secretary of State offers three types of Certificate of Conversion From Limited Liability Partnership To Limited Liability Company: the Standard Certificate of Conversion, the Short-Form Certificate of Conversion, and the Certificate of Conversion with the Statement of Merger. The Standard Certificate of Conversion is the most common type and is used when the LLC is not merging with another entity. The Short-Form Certificate of Conversion is used when the LLC is merging with another LLC. The Certificate of Conversion with the Statement of Merger is used when the LLC is merging with a corporation.
