Delaware Sample Employment Agreement between Machine Communications, Inc. and Chief Technical Officer This Delaware Sample Employment Agreement ("Agreement") is entered into by and between Machine Communications, Inc. ("Company") and the Chief Technical Officer ("CTO"), collectively referred to as "Parties." 1. Position: The CTO shall assume the position of Chief Technical Officer at Machine Communications, Inc. and shall report directly to the CEO. The CTO shall be responsible for overseeing all technical operations and strategic planning related to the company's technological advancements. 2. Term: The initial term of this agreement shall commence on the effective date and continue for a period of three (3) years, unless otherwise terminated in accordance with the terms herein. 3. Duties and Responsibilities: The CTO shall perform all duties assigned by the CEO, which shall include but not be limited to: — Developing and implementing the company's technical vision, strategies, and objectives. — Managing a team of technical professionals and providing guidance to ensure the successful execution of projects. — Evaluating and adopting emerging technologies to support the company's growth and innovation. — Building and maintaining relationships with key partners, investors, and stakeholders. — Overseeing the management of the company's technical budget, resources, and assets. 4. Compensation and Benefits: The CTO shall receive a competitive base salary of [EX] per annum, payable in accordance with the company's regular payroll schedule. In addition to the base salary, the CTO shall be eligible for performance-based bonuses and participate in any employee benefits plans, programs, and incentives offered by the company. 5. Confidentiality and Non-Disclosure: The CTO shall maintain strict confidentiality regarding any proprietary, confidential, or trade secret information obtained during their employment. This obligation shall continue even after the termination of this Agreement. 6. Intellectual Property: Any inventions, discoveries, or developments made by the CTO during the course of employment shall become the property of the company. The CTO agrees to disclose such intellectual property promptly and assist the company in obtaining any necessary patents, copyrights, or other legal protection. 7.
