A Florida Statement of Abandonment of Domestication is a document that is used to officially terminate the domestication of a foreign business entity in the state of Florida. This document must be filed with the Florida Division of Corporations in order to legally terminate the business entity’s status as a domestic business in the state. There are two types of Florida Statement of Abandonment of Domestication. The first is known as the “Voluntary Abandonment of Domestication” which is used when the foreign business entity chooses to voluntarily terminate its domestication in the state. The second is known as the “Forced Abandonment of Domestication” which is used when the foreign business entity is forced to terminate its domestication in the state due to a failure to comply with applicable laws or regulations. The Florida Statement of Abandonment of Domestication must include the business entity’s name, the state or country of its original formation, the date of the statement, and the signature of an authorized representative of the foreign business entity. It must also be accompanied by the applicable filing fee. Once the document is filed, the foreign business entity’s status as a domestic business in the state of Florida will be officially terminated.
