Florida Preferred Content License Agreement between AT&T Wireless Data, Inc. and Intelligent Information Inc. This Florida Preferred Content License Agreement (henceforth referred to as "Agreement") is entered into by and between AT&T Wireless Data, Inc. (referred to as "AWD") and Intelligent Information Inc. (referred to as "III"), collectively known as "Parties." This Agreement sets forth the terms and conditions under which III will provide AWD with preferred content licenses in the state of Florida. By entering into this Agreement, the Parties acknowledge and agree to abide by the following terms: 1. Scope: The scope of this Agreement encompasses the provision of preferred content licenses by III to AWD within the geographical boundaries of Florida. 2. License Terms: III grants AWD a non-exclusive, non-transferable license to access and utilize their preferred content, subject to the terms outlined herein, including any addenda or appendixes agreed upon by both Parties. 3. Authorized Use: AWD may use the licensed content solely for its internal purposes, including but not limited to distribution, promotion, marketing, and consumer engagement related to AWD's wireless data services within Florida. AWD shall not sublicense, sell, or redistribute the licensed content without prior written consent from III. 4. Content Updates: III agrees to provide AWD with regular content updates, enhancements, and new additions as and when they become available, subject to III's discretion and any associated fees or charges as agreed upon by the Parties. 5. Intellectual Property Rights: III retains all ownership rights, title, and interest in the licensed content, including all intellectual property rights associated with it. No transfer of ownership or rights occurs under this Agreement, except as expressly provided herein. 6. Compensation: In consideration for the preferred content licenses provided by III, AWD shall pay the agreed-upon fees or royalties outlined in a separate agreement or as per the payment terms specified by III. 7. Term and Termination: This Agreement shall commence on the effective date specified herein and shall remain in force for an initial term of one year, unless terminated earlier than per the termination provisions outlined within this Agreement. Upon termination, AWD shall immediately cease using the licensed content provided by III. 8. Confidentiality: Both Parties agree to hold any confidential information received from the other party strictly confidential and shall take all necessary measures to protect such information from unauthorized access, use, or disclosure. Types of Florida Preferred Content License Agreements between AWD and III may include but are not limited to: a. Florida Preferred Content License Agreement for Video Streaming Services: This agreement outlines the terms and conditions specific to licenses granted for video streaming content within Florida. b. Florida Preferred Content License Agreement for Music Streaming Services: This agreement focuses on licenses granted for music streaming content within Florida. c. Florida Preferred Content License Agreement for News and Media Services: This agreement pertains to licenses granted for news and media content services within Florida. d. Florida Preferred Content License Agreement for Gaming Services: This agreement details licenses granted for gaming content within Florida.
