Scope of Services Tech Fund engages Del soft Consulting to provide professional consulting services related to [specific area of expertise], as agreed upon in the attached Exhibit A (the "Services"). The Services shall be performed in accordance with the highest professional standards and best practices within the industry. 2. Term and Termination This Agreement shall commence on the Effective Date and shall remain in effect for a period of [Timeframe] unless earlier terminated as specified herein. Either party may terminate this Agreement upon [Termination Notice Period] written notice to the other party if a material breach of this Agreement occurs and is not remedied within [Cure Period]. 3. Intellectual Property Any intellectual property or work product created, developed, or contributed by Del soft Consulting during the course of providing the Services shall be the property of Tech Fund. Del soft Consulting agrees to assign all intellectual property rights to Tech Fund without further consideration. 6. Governing Law and Dispute Resolution This Agreement shall be governed by and construed in accordance with the laws of Guam. Any disputes arising out of or in connection with this Agreement shall be resolved through negotiation and, if unsuccessful, by mediation or arbitration as specified in Exhibit C. 7. Entire Agreement This Agreement represents the entire understanding between the parties concerning the subject hereof and supersedes any prior discussions, negotiations, or agreements, whether oral or written.
