Hawaii Articles of Amendment are documents used to make changes to the existing articles of incorporation of an existing Hawaii corporation. They are filed with the Hawaii Department of Commerce and Consumer Affairs (CCA) to modify the corporation's purpose, name, number of directors, capital structure, or other information listed in the articles of incorporation. There are three types of Hawaii Articles of Amendment: (1) Amendment to General Corporation Law Articles of Incorporation; (2) Amendment to Nonprofit Corporation Law Articles of Incorporation; and (3) Amendment to Professional Corporation Law Articles of Incorporation. All three types of amendments require the signature of the corporation's president or the chairperson of the board of directors, and must be accompanied by a filing fee. The amendment must also be approved by a majority of the board of directors prior to filing with the CCA.
