Hawaii Articles of Revocation of Dissolution are documents that allow a dissolved corporation in the state of Hawaii to be reinstated and its original legal status restored. These documents are typically filed with the Hawaii Department of Commerce and Consumer Affairs (CCA). There are two types of Hawaii Articles of Revocation of Dissolution: Voluntary and Involuntary. A Voluntary Articles of Revocation of Dissolution is filed when the shareholders of the dissolved corporation agree to reinstate the corporation. The Articles of Revocation must include information about the original date of dissolution, the names of the shareholders, the name of the corporation, and the corporate purpose. Involuntary Articles of Revocation of Dissolution are filed when the shareholders do not agree to reinstatement. In this case, the Articles of Revocation must include a statement of reasons why the corporation should be reinstated. The CCA then reviews the document and decides whether to restore the corporation. Both types of Hawaii Article of Revocation of Dissolution must be signed by all shareholders and filed with the CCA. Once approved, the corporation is reinstated and the original legal status is restored.
