Iowa Articles of Correction [499.54] [490.124] are legal documents used to correct errors on a previously filed document or to make corrections to a document that is not allowed to be filed. These documents are filed with the Iowa Secretary of State and can be used to correct mistakes on documents such as a Certificate of Authority, Certificate of Organization, or other documents required to form a business entity. There are two different types of Iowa Articles of Correction [499.54] [490.124]: Articles of Amendment and Articles of Restatement. An Article of Amendment is used to make corrections to an existing document, such as a name change, address change, or any other minor changes. An Article of Restatement is used to completely replace an existing document with a new document. Both types of Iowa Article of Correction [499.54] [490.124] must be signed by an officer of the business entity and notarized before they can be filed with the Iowa Secretary of State.
