Kentucky Articles of Dissolution- Profit Corporation is a legal document used to dissolve a Kentucky Profit Corporation. This document is filed with the Kentucky Secretary of State (SOS) in order to terminate the existence of a corporation in the state. There are two types of Kentucky Articles of Dissolution- Profit Corporation; voluntary and involuntary. A voluntary dissolution occurs when a corporation’s board of directors decides to terminate the company and files the necessary paperwork with the SOS. An involuntary dissolution occurs when the SOS revoke the corporation’s charter due to failure to comply with Kentucky’s corporate laws. Both voluntary and involuntary dissolution require the filing of Kentucky Articles of Dissolution- Profit Corporation with the SOS. The Articles of Dissolution must include the name of the corporation, the date of dissolution, the name and address of the registered agent, and the name and address of the person filing the document. Additionally, the Articles of Dissolution must be signed by the board of directors or by a majority of the shareholders. Once the Articles of Dissolution are filed, the corporation is officially dissolved and its corporate existence is terminated.
