A Kentucky Certificate of Authority (Foreign Business Entity) is a document issued by the Kentucky Secretary of State that allows a foreign business to transact business in the state of Kentucky. Foreign businesses must register with the Secretary of State in order to conduct business in the state. The Certificate of Authority must be filed with the Kentucky Secretary of State in order to be valid. There are two types of Kentucky Certificate of Authority (Foreign Business Entity): a Foreign Corporation Certificate of Authority and a Foreign Limited Liability Company Certificate of Authority. The Foreign Corporation Certificate of Authority is issued to a foreign corporation that is authorized to transact business in the state of Kentucky. The Foreign Limited Liability Company Certificate of Authority is issued to a foreign limited liability company that is authorized to transact business in the state of Kentucky.
