The Kentucky Certificate of Withdrawal (Foreign Business Entity) is a form that is used to withdraw a foreign business entity from the Commonwealth of Kentucky. This form must be filed with the Secretary of State's office when a foreign business entity is no longer doing business in the state. The Certificate of Withdrawal must be accompanied by a Certificate of Good Standing from the Secretary of State in the state where the entity is currently registered. There are two types of Kentucky Certificate of Withdrawal (Foreign Business Entity): the Certificate of Dissolution and the Certificate of Withdrawal. The Certificate of Dissolution is used to terminate a foreign corporation’s registration in the state, while the Certificate of Withdrawal is used to terminate the registration of a foreign limited liability company or foreign limited partnership. Both forms must be signed by an authorized representative of the entity, and must include the entity’s name, the date of dissolution/withdrawal, the name and address of the registered agent, and the name and address of the entity’s principal place of business.
