Kentucky Withdrawal of Filing Before Effectiveness (Domestic Or Foreign Entity) is a process wherein a domestic or foreign entity can withdraw a filing before the filing is accepted by the Kentucky Secretary of State. This process is available for Articles of Incorporation, Articles of Organization, Certificate of Limited Partnership, Certificate of Registration of Unincorporated Nonprofit Association, and Statement of Merger or Consolidation. This process is beneficial to entities who wish to withdraw a filing due to errors or other reasons prior to the filing becoming effective or accepted by the Kentucky Secretary of State. There are two types of Kentucky Withdrawal of Filing Before Effectiveness (Domestic Or Foreign Entity): 1) Domestic Entity Withdrawal and 2) Foreign Entity Withdrawal. Domestic Entity Withdrawal involves filing the Withdrawal Form and paying the required fee with the Kentucky Secretary of State. Foreign Entity Withdrawal involves filing the Withdrawal Form, paying the required fee, providing a Certificate of Good Standing from the original state of formation, and providing a Certificate of Existence from the Kentucky Secretary of State.
