Articles of Organization-Louisiana Low-Profit Limited Liability Company (L3C) is a legal document filed with the Louisiana Secretary of State that formally establishes a low-profit limited liability company (L3C). An L3C is a unique type of business entity that combines the legal and tax advantages of a for-profit LLC with the socially-conscious purpose of a non-profit organization. This type of LLC is specifically designed to allow private investments in socially beneficial projects. The Articles of Organization-Louisiana Low-Profit Limited Liability Company must include the following information: the name and address of the LLC; the name and address of the registered agent; the name and address of the organizer; the purpose of the LLC; the duration of the LLC; the management structure of the LLC; the number of members; the authorized capital; the name and address of the designated manager; and the name and address of the designated manager. There are two types of Articles of Organization-Louisiana Low-Profit Limited Liability Company: Form L3C-1 and Form L3C-2.
