The Louisiana Statement of Change of Members and/or Managers-Foreign Limited Liability Company is a legal document that must be filed with the Louisiana Secretary of State when a foreign limited liability company (LLC) wishes to make a change in its membership or management. This document must be signed by a company officer or manager, and the signature must be notarized. The Louisiana Statement of Change of Members and/or Managers-Foreign Limited Liability Company must include the name of the company, the date of the change, the name and address of the company's registered agent in Louisiana, the name and address of the company's principal office outside of Louisiana, the name and address of the current members or managers, the name and address of the new members or managers, and any other changes. There are two types of the Louisiana Statement of Change of Members and/or Managers-Foreign Limited Liability Company: the Statement of Change of Members and the Statement of Change of Managers. The Statement of Change of Members must be filed when the LLC wants to change its members or when a new member is added to the LLC. The Statement of Change of Managers must be filed when the LLC wants to change its managers or when a new manager is added to the LLC.
