Maryland Articles or Certificate of Reinstatement (LLC LLP Or LP) is a document issued by the Maryland State Department of Assessments & Taxation (SEAT) that reinstates a limited liability company (LLC), limited liability partnership (LLP) or limited partnership (LP) that was previously administratively dissolved. Maryland Articles of Reinstatement are the documents used to reinstate a Maryland LLC, LLP or LP that has been administratively dissolved by the SEAT due to failure to file the required Annual Report. It is the responsibility of the LLC, LLP or LP to file the Articles of Reinstatement with the SEAT in order to be reinstated to good standing. The Certificate of Reinstatement is used to reinstate a Maryland LLC, LLP or LP that has been administratively dissolved by the SEAT for failure to pay the required annual registration fee. This document confirms that the fees have been paid and the LLC, LLP or LP is now in good standing. Both the Maryland Articles of Reinstatement and the Certificate of Reinstatement will be signed and submitted to the SEAT along with the applicable fees in order to reinstate the LLC, LLP or LP.
