Articles or Certificate of Reinstatement for an LLC, LLP, or LP form and instructions
The Maryland Articles or Certificate of Reinstatement for an LLC, LLP, or LP form is a legal document used to reinstate a limited liability company (LLC), limited partnership (LP), or limited liability partnership (LLP) in the state of Maryland. It is filed with the Maryland Department of Assessments and Taxation (SEAT) to reinstate a Maryland LLC, LP, or LLP that has been administratively revoked due to failure to file its annual report and/or pay its annual registration fees. The Maryland Articles or Certificate of Reinstatement for an LLC, LLP, or LP form is available in two versions: the Short Form and the Long Form. The Short Form is used when there have been no changes to the company’s registered agent or address since the company was initially formed. The Long Form is used when there have been changes to the company’s registered agent or address since the company was initially formed. Both forms require the same basic information including the name of the LLC, LLP, or LP, the date of formation, the name and address of the registered agent, and the names and addresses of all members, managers, or partners. The Long Form requires additional information, including a copy of the current registered agent’s consent to serve, the new address of the registered agent, and the names and addresses of all new members, managers, or partners. In addition to the appropriate form, filers must also submit a filing fee and any applicable back taxes owed. The reinstatement will not be approved until all fees and taxes have been paid in full. Once the form has been submitted and the fees and taxes paid, the SEAT will issue a Certificate of Reinstatement. This document confirms that the LLC, LLP, or LP is now in good standing with the state of Maryland.
