There are two types of Maine Certificate of Resumption: Certificate of Resumption of Corporate Existence and Certificate of Resumption of Authority to Transact Business in Maine. The Certificate of Resumption of Corporate Existence is used for companies that have been dissolved, forfeited, or otherwise not in good standing with the state. The Certificate of Resumption of Authority to Transact Business in Maine is used for companies that have been previously registered in Maine but are no longer carrying on business in the state. Both types of certificates must be filed with the Office of the Secretary of State in Maine and include information such as the name of the company, the state of formation, and the purpose for which the company was formed. Once the filing is complete, the company will receive a Certificate of Resumption that legally restores its corporate status and good standing.
