Maine Articles of Dissolution are documents filed with the Maine Secretary of State to legally dissolve a Maine corporation or LLC. These documents provide official notice that the corporation or LLC is ending its business activities. Maine Articles of Dissolution are also known as Certificate of Dissolution or Certificate of Cancellation. There are two types of Maine Articles of Dissolution, one for corporations and one for limited liability companies (LCS). The Articles of Dissolution for corporations must include the corporation name, date of incorporation, the purpose of the dissolution, and the name and address of the person authorized to wind up the affairs of the corporation. The Articles of Dissolution for LCS must include the LLC's name, date of formation, the purpose of the dissolution, and the name and address of the person authorized to wind up the affairs of the LLC. In addition, both types of Articles of Dissolution must be signed by a majority of the board of directors or the managers of the LLC.
