Maine Sample Corporate Consulting Agreement C. Jones and Company, Inc. and Para-Link, Inc. This Corporate Consulting Agreement (the "Agreement") is entered into between C. Jones and Company, Inc., a consulting firm specializing in public relations and general business consulting services (hereinafter referred to as "Consultant"), and Para-Link, Inc., a corporation in need of such services (hereinafter referred to as "Client"). 1. Confidentiality provisions shall survive the termination of this Agreement. 5. Ownership and Intellectual Property: It is understood that all materials, reports, presentations, and other deliverables produced by Consultant during the term of this Agreement shall remain the property of the Client. However, Consultant reserves the right to use anonymized and aggregated data for marketing and promotional purposes. 6. Indemnification: Client agrees to indemnify and hold Consultant harmless against any claims, liabilities, or expenses arising out of or relating to the services provided under this Agreement, except in the case of Consultant's gross negligence or willful misconduct. 7. Governing Law and Dispute Resolution: This Agreement shall be governed by and construed in accordance with the laws of the state of Maine. Any disputes arising out of or relating to this Agreement shall be resolved through amicable negotiations. In case of failure to reach a settlement, the dispute shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association.
