The Michigan Restated Certificate of Limited Partnership (RCMP) is an official document used to update, renew, or restate the terms of an existing limited partnership. It is filed with the Michigan Department of Licensing and Regulatory Affairs and serves to amend the agreement between limited partners in order to comply with any changes or updates to the law. The RCMP must include the name of the limited partnership, its principal office address, and the names and addresses of all the general and limited partners. There are two types of Michigan Restated Certificate of Limited Partnership: the Regular RCMP and the Short Form RCMP. The Regular RCMP is used when there are significant changes to the terms of the partnership agreement, such as changes to the rights and duties of the partners, the purpose of the partnership, or the terms of partnership dissolution. The Short Form RCMP is used when there are minor changes, such as changes to the address or contact information of the partnership.
