The Michigan Certificate of Cancellation is a document issued by the state of Michigan that officially cancels a corporation or limited liability company's (LLC) existence. This document is required when the corporation or LLC has been dissolved and all necessary steps have been taken to terminate the business. The Certificate of Cancellation is issued by the Michigan Department of Licensing and Regulatory Affairs (LARA) and must be filed with the Michigan Department of Treasury before the business can be considered officially dissolved. There are two types of Michigan Certificate of Cancellation: the Certificate of Cancellation for Voluntary Dissolution and the Certificate of Cancellation for Administrative Dissolution. The Certificate of Cancellation for Voluntary Dissolution is issued when the shareholders of the corporation or members of the LLC have voted to dissolve the business. The Certificate of Cancellation for Administrative Dissolution is issued when the business has failed to comply with Michigan's filing and payment requirements and has been administratively dissolved by the state.
