The Michigan Restated Articles of Incorporation is a set of documents that allow a corporation to reorganize, expand, or restate its corporate structure. The Restated Articles of Incorporation must be filed with the State of Michigan in accordance with the Michigan Business Corporation Act. There are two types of Michigan Restated Articles of Incorporation: 1) Restated Articles of Incorporation of a Domestic Corporation; and 2) Restated Articles of Incorporation of a Foreign Corporation. The Restated Articles of Incorporation of a Domestic Corporation must be filed when there is an amendment to the original articles of incorporation, when a merger or consolidation has occurred, or when a change in the registered office or registered agent is needed. The Restated Articles of Incorporation of a Foreign Corporation must be filed when a foreign corporation wants to do business in Michigan, when the corporation wants to change its resident agent or place of business, or when there is an amendment to the original articles of incorporation. Both types of Michigan Restated Articles of Incorporation must include the name of the corporation, the type of corporate entity, the address of the registered office, the resident agent's name and address, the effective date of the articles, the purpose of the corporation, the names and addresses of the directors, and the duration of the corporation.
