The Michigan Certificate of Merger (Cross Entity) is a document that is created and filed with the Michigan Department of Licensing and Regulatory Affairs (LARA) when two or more existing Michigan-based business entities merge into a single entity. The Certificate must be signed by an authorized representative of each entity and must include the following information: the names of the merging entities; the name of the surviving entity; the type of surviving entity; the date of the merger; the effective date of the merger; the address of the surviving entity; the name and address of the registered agent of the surviving entity; and any other information required by the Michigan Business Corporation Act. Different types of Michigan Certificate of Merger (Cross Entity) may include: a merger between two or more corporations; a merger between two or more Limited Liability Companies; and a merger between a corporation and a Limited Liability Company.
