Michigan Articles of Organization (Professional Service LLC) are documents filed with the Michigan Department of Licensing and Regulatory Affairs (LARA) to form a Limited Liability Company (LLC) in the State of Michigan. These documents outline the formal name, purpose, and duration of the LLC, as well as the members, their respective ownership percentages, and the registered agent’s name and address. Additionally, the Articles of Organization provide the information necessary to obtain an Employer Identification Number (EIN) from the Internal Revenue Service (IRS) and must be accompanied by an application fee and filing fee. There are two types of Michigan Articles of Organization: Domestic LCS and Foreign LCS. Domestic LCS are LCS formed in the State of Michigan, while Foreign LCS are LCS formed outside the State of Michigan and registered to do business in the State. Both Domestic and Foreign LCS must submit Articles of Organization to the Michigan Department of Licensing and Regulatory Affairs in order to be formed and legally recognized.
