It is also used to register the new LLC formed by the merger with the Michigan Department of Licensing and Regulatory Affairs. There are two types of Michigan Certificates of Merger (Limited Liability Companies): a short-form certificate and a long-form certificate. The short-form certificate is used in cases where the merging LCS have the same registered agent and registered office address. The long-form certificate is used in cases where the merging LCS have different registered agents and/or registered office addresses. Both certificates must be signed by the members of the merging LCS and submitted with the applicable filing fee.
