Minnesota Amendment to Articles is a legal document used to make changes to articles of incorporation (AOI) filed by a business entity in the state of Minnesota. The amendment may be used to alter the name of the corporation, increase or decrease the authorized shares, or change the registered agent. There are three types of amendments which may be filed with the Minnesota Secretary of State: a Certificate of Amendment, a Certificate of Merger, and a Certificate of Amendment of Articles of Merger. A Certificate of Amendment is used to make changes such as changing the corporate name, changing the corporate purpose, changing the par value of shares, or changing the number of authorized shares, among others. A Certificate of Merger is used to consolidate two or more corporations into one. Finally, a Certificate of Amendment of Articles of Merger is used to make changes to the articles of merger that have already been filed with the Secretary of State.
