The Minnesota Statement of Qualification (Foreign LLP) is a document used by foreign Limited Liability Partnerships (LLP) to qualify for doing business in the state of Minnesota. This document is filed with the Minnesota Secretary of State and provides proof of the foreign LLP's authority to conduct business in Minnesota. The statement also provides information about the LLP's formation, purpose, members, and other relevant information. The statement must be signed by a legal representative of the foreign LLP. There are two types of Minnesota Statement of Qualification (Foreign LLP): Initial and Renewal. Initial Statements are used to register a foreign LLP in Minnesota and Renewal Statements are used to renew the LLP's registration in Minnesota. Both Initial and Renewal Statements require the same information, however, Renewal Statements must include a current list of the LLP's members and must be filed every two years.
