Minnesota Certificate of Limited Partnership Domestic (MCP) is a legal document used to form and register a limited partnership in the state of Minnesota. Limited partnerships are business entities composed of one or more general partners, who manage the business, and one or more limited partners, who provide capital and are liable only to the extent of their investments. The MCP must be filed with the Minnesota Secretary of State and contains the following information: name and address of the partnership, names of general and limited partners, duration of the partnership, name and address of the registered agent, and other information as necessary. There are two types of Minnesota Certificate of Limited Partnership Domestic: the Standard Certificate and the Special Certificate. The Standard Certificate is used to create a general partnership with one or more general partners and one or more limited partners. The Special Certificate is used to create a special limited partnership with one or more general partners and one or more limited partners.
