Minnesota Election To Exclude Certain Relatives of Managers of Limited Liability Company (ME) is a legal document used to protect the interests of a limited liability company (LLC) by excluding certain relatives of a manager from the LLC's management or ownership. The document is used in accordance with Minnesota Statutes Chapter 322C and can be submitted to the Minnesota Secretary of State. There are two types of ME: Manager Election and Director Election. The Manager Election excludes certain relatives of a manager from being appointed or elected as a manager, while the Director Election excludes certain relatives of a manager from being appointed or elected as a director. The ME also includes a list of the relatives to be excluded and the date the document was signed. Additionally, the signing manager must sign the document for it to be valid. The ME is used to protect the interests of an LLC by preventing certain relatives of a manager from having any control over the LLC. This document should be used in addition to the LLC's operating agreement and other documents.
