Missouri Articles of Amendment For A Nonprofit Corporation are legal documents used by Missouri nonprofit corporations to modify their existing corporate documents. These articles of amendment allow a nonprofit corporation to make changes to its name, purpose, and/or corporate structure. There are two types of Missouri Articles of Amendment For A Nonprofit Corporation: 1) Articles of Amendment to the Articles of Incorporation and 2) Articles of Amendment to the Bylaws. The Articles of Amendment to the Articles of Incorporation are used to make changes to the nonprofit corporation’s legal name, the purpose of the corporation, the number of directors, and other items contained in the Articles of Incorporation. The Articles of Amendment to the Bylaws are used to make changes to the nonprofit corporation’s internal structure and operational rules, such as the voting rights of members, the method of electing directors, and the number of board members. In order to be valid, both types of Missouri Articles of Amendment For A Nonprofit Corporation must be approved by a majority of the corporation’s board of directors and filed with the Missouri Secretary of State.
