The Missouri Application for Certificate of Withdrawal of Foreign Corporation is a document that is filed in order to withdraw a foreign corporation from the state of Missouri. This document must be filed with the Missouri Secretary of State's office. There are two types of Missouri Application for Certificate of Withdrawal of Foreign Corporation: Voluntary Withdrawal and Involuntary Withdrawal. A Voluntary Withdrawal is filed when the foreign corporation has completed all of its obligations and activities in Missouri, and wishes to formally end its presence in the state. An Involuntary Withdrawal is filed when the foreign corporation has failed to comply with state regulations, and the Missouri Secretary of State has issued a Certificate of Withdrawal. Both types of withdrawal require a filing fee, a completed application, and a Certificate of Good Standing from the foreign corporation's jurisdiction of incorporation.
