The Mississippi Notice of Sale of Securities is a document that must be filed with the Mississippi Secretary of State when a business wants to offer securities for sale within the state of Mississippi. There are two main types of Mississippi Notice of Sale of Securities: Notice of Intrastate Offering and Notice of Interstate Offering. The Notice of Intrastate Offering is for sales of securities within Mississippi and must include such information as the issuer’s name and address, the number of securities offered, the terms of the sale, the offering price, and other relevant information. The Notice of Interstate Offering is for sales of securities to investors outside of Mississippi and must include the same information as the Notice of Intrastate Offering, as well as additional information such as the jurisdictions in which the securities are being offered and any restrictions on the offer or sale of the securities.
