Description

20-174D 20-174D . . . Restricted Stock Incentive Plan under which Compensation Committee selects participants, determines number of shares of common stock covered by each grant, establishes appropriate performance measures, and chooses appropriate corporation peer group. The number of shares granted is equal to a percentage of participant's base salary for first calendar year of each three-year program. The base salary percentage target of first three-year grants range from 10% to 35%; maximum base salary grant permitted by Plan may not exceed 70% of participant's base salary. After end of a Performance Period, Committee determines adjustments, if any, that are required to be made to share grants for Performance Period based on actual results under Performance Measures (performance of corporation versus its peer group) for such Performance Period. After adjustments, restrictions on shares held by participant are lifted as to 1/3 on July 1 immediately following Performance Period and additional 1/3 increments on the first and second anniversaries of such July 1, provided participant is still employed by corporation on such date. If participant ceases to be employed by corporation before restrictions lapse on shares held by him or her, shares still subject to restrictions are immediately forfeited

The Mississippi Long Term Performance and Restricted Stock Incentive Plan is an employee benefit program implemented by INALCOL Enterprises, Inc. This plan aims to provide long-term incentives and rewards for key employees based in Mississippi. The program encompasses several distinct types of incentives and grants, catering to different performance metrics and objectives. These types include the following: 1. Performance-Based Stock Grants: One facet of the Mississippi Long Term Performance and Restricted Stock Incentive Plan includes grants of company stock to eligible employees based on predetermined performance goals and targets. These grants serve as a reward for achieving exceptional performance and contribute to the employees' long-term financial growth. 2. Restricted Stock Units (RSS): Another component of the plan is the allocation of restricted stock units, which are units of company stock given to eligible employees. RSS typically have vesting schedules, requiring employees to fulfill certain performance or tenure requirements to gain ownership of the granted stock units. 3. Performance Cash Awards: In addition to stock-based incentives, the Mississippi Long Term Performance and Restricted Stock Incentive Plan may incorporate performance cash awards. These awards are typically tied to specific performance goals and milestones outlined by the company. Eligible employees who meet or exceed these targets can receive cash bonuses as part of their long-term incentive package. 4. Performance Share Units (Plus): This plan may also offer performance share units as a form of long-term incentive for Mississippi-based employees. Plus represent hypothetical shares that can convert into actual company stock after fulfilling performance criteria or upon the achievement of specified goals. 5. Performance Cash Appreciation Rights (Cars): Similar to stock appreciation rights, Performance Cash Appreciation Rights may be another variant of long-term incentives offered under the Mississippi Long Term Performance and Restricted Stock Incentive Plan. Cars offer employees the opportunity to earn additional cash compensation based on the appreciation in the company's stock value over a predetermined period. INALCOL Enterprises, Inc. designed the Mississippi Long Term Performance and Restricted Stock Incentive Plan to attract, retain, and motivate talented employees in their Mississippi operations. By offering a variety of stock-based grants, cash awards, and performance-based units, this plan provides a comprehensive framework for rewarding exceptional performance and fostering long-term employee engagement.

FAQ

Equity compensation is non-cash pay that is offered to employees. Equity compensation may include options, restricted stock, and performance shares; all of these investment vehicles represent ownership in the firm for a company's employees. At times, equity compensation may accompany a below-market salary.

Resigning before your RSUs have vested is a tough pill to swallow. Usually, you'll lose all the RSUs that have not yet vested at the time of your resignation. They'll be forfeited back to the company, and you'll walk away with nothing for those unvested units.

RSUs are a type of restricted stock (which may also be known as ?letter stock? or ?restricted securities?). Restricted stock is company stock that cannot be fully transferable until certain restrictions have been met. These can be performance or timing restrictions, similar to restrictions for options.

LTIPs can be taxed at different stages of their life cycle ? Grant, Vesting, Exercise and Sale, depending on the type of LTI award. For example, you typically won't pay tax for your ISO awards until selling them while you'll be charged income tax at the time of exercising your NSO awards.

You lose all your unvested RSU shares when you quit your job. For the vested RSU shares that are already in your brokerage account, you can keep those since it is your money as soon as it vests.

RSUs have no actual financial value to the employee when issued. However, once they vest, employees can receive shares of stock or, less commonly, an equivalent value in cash. Until the RSUs vest, they remain an unfunded promise to compensate the recipient at some point in the future.

In summary, RSUs in public companies offer more immediate liquidity, allowing employees to sell their shares as soon as they vest. On the other hand, private company RSUs involve waiting for specific events or finding a willing buyer to access the value of the shares.

1 There are many ways to structure an employee equity program, but the vast majority of private companies choose stock options (options) or restricted stock units (RSUs).
