North Dakota Business, Professional Farm Corporation Articles of Dissolution are documents that are filed with the North Dakota Secretary of State in order to legally dissolve a business, professional, or farm corporation that has been formed in the state of North Dakota. This document is the official record of the dissolution and serves as proof that the corporation has been dissolved. The Articles of Dissolution must include the name of the corporation, the date of dissolution, the corporate identification number, the names and addresses of the directors and officers of the corporation, a statement of dissolution, and the signatures of all directors and officers. There are two types of North Dakota Business, Professional Farm Corporation Articles of Dissolution: Voluntary Articles of Dissolution and Mandatory Articles of Dissolution. A Voluntary Articles of Dissolution is filed by the corporation’s directors and officers to voluntarily dissolve the corporation, while a Mandatory Articles of Dissolution is filed by the North Dakota Secretary of State when the corporation fails to comply with certain requirements or when the corporation’s shareholders decide to dissolve the corporation.
