There are several types of North Dakota Statement of Correction, including: Certificate of Correction, Certificate of Amendment, Restated Certificate of Incorporation, and Merger/Consolidation Certificate. A Certificate of Correction is used to correct a minor mistake or typographical error in a previously filed document with the Secretary of State. A Certificate of Amendment is used to make changes to an existing document filed with the Secretary of State. A Restated Certificate of Incorporation is used to update the existing Certificate of Incorporation on file with the Secretary of State. A Merger/Consolidation Certificate is used to merge/consolidate two or more existing business entities. In order to file a North Dakota Statement of Correction, the appropriate form must be completed and submitted to the North Dakota Secretary of State's office with the required filing fee. The form must include the name of the business entity, the document type, the filing date of the original document, the document number, and the names of the current officers/directors. The Secretary of State's office will review the form and, if approved, will issue a Certificate of Correction, Certificate of Amendment, Restated Certificate of Incorporation, or Merger/Consolidation Certificate.
