North Dakota Professional Limited Liability Partnership (PULP) Registration is the process of formally establishing a business in North Dakota as a PULP. This type of business structure is a hybrid of a general partnership and a limited liability company (LLC). In a PULP, each partner is jointly and severally liable for the debts and obligations of the partnership, but also enjoys the benefit of limited liability for their own personal assets. There are two types of North Dakota PULP Registration: filing with the North Dakota Secretary of State and filing with the North Dakota Department of Taxation. The Secretary of State filing is for registering the PULP as a legal entity and the Department of Taxation filing is for obtaining the PULP’s tax identification number. Both filings must be completed in order for the PULP to be legally recognized in North Dakota.
