North Dakota BUS/PROF/FARM LIMITED LIABILITY CO NOTICE of DISSOLUTION is a legal document filed by a North Dakota business to dissolve its limited liability company (LLC). This document is filed with the North Dakota Secretary of State and must include the name of the LLC, its date of formation, the address of the registered agent or office, the name and address of each member, and the signature of the organizer. There are two types of North Dakota BUS/PROF/FARM LIMITED LIABILITY CO NOTICE of DISSOLUTION: voluntary dissolution and involuntary dissolution. A voluntary dissolution is filed when the members of an LLC have unanimously agreed to dissolve the LLC. An involuntary dissolution is filed when a court or other legal authority orders the dissolution of an LLC. Regardless of the type of dissolution, once the notice of dissolution is filed with the North Dakota Secretary of State, the LLC will cease to exist.
