North Dakota Nonprofit Corporation Articles of Dissolution are documents used to formally dissolve a nonprofit corporation in the state of North Dakota. These documents must be filed with the Secretary of State in order to legally dissolve the nonprofit. This process is typically used when a nonprofit has completed its purpose and is no longer needed, or if the nonprofit is merging into another organization. There are two types of North Dakota Nonprofit Corporation Articles of Dissolution: voluntary and involuntary. The voluntary dissolution is when the nonprofit’s board of directors decides to dissolve the organization, while the involuntary dissolution is when the nonprofit is dissolved by the Secretary of State due to non-compliance with filing requirements. The Articles of Dissolution must include the name of the nonprofit, its date of incorporation, the date of dissolution, the names and signatures of the board of directors, the effective date of dissolution, and any other provisions that may be required. Once the Articles of Dissolution have been filed, the nonprofit must also submit a Certificate of Dissolution to the Secretary of State.
