North Dakota ND PROFESSIONAL LLC Articles of Organization are the legally binding documents that are filed with the North Dakota Secretary of State to create a Professional Limited Liability Company (LLC). The Articles must be signed and dated by a person authorized to act on behalf of the LLC and must be accompanied by the filing fee. The Articles must include the LLC's name, the name and address of the LLC's registered agent, the duration of the LLC, the purpose of the LLC, the name and address of the organizer, and the name and address of each member. The Articles should also include the number of members, the voting rights of members, the management structure of the LLC, and any other information required by the Secretary of State. There are three types of North Dakota ND PROFESSIONAL LLC Articles of Organization: the Original Articles of Organization, the Amendment to Articles of Organization, and the Restated Articles of Organization.
