Nebraska Foreign Change of Registered Agent and or Office (Foreign Corp) is a process that entities registered outside the state of Nebraska must go through in order to legally conduct business in the state. The process involves filing a Certificate of Change of Registered Agent and/or Office with the Nebraska Secretary of State. Depending on the type of business entity, different documents may need to be filed. Types of foreign corporations that must file a Nebraska Foreign Change of Registered Agent and or Office (Foreign Corp) include Limited Liability Companies, Limited Partnerships, Professional Corporations, and Nonprofit Corporations. The necessary documents may include an Application for Certificate of Change of Registered Agent and/or Office, a Certificate of Good Standing from the foreign corporation’s home state, and a Consent of Registered Agent. Once the documents are filed, the Nebraska Secretary of State will review the documents and issue a Certificate of Change of Registered Agent and/or Office. This document will allow the foreign business entity to begin legally operating in Nebraska.
