A Nebraska Statement of Dissolution is a document that is legally filed with the Nebraska Secretary of State to dissolve a business entity in the state. It is a necessary step when a business wishes to terminate its existence in the state and cease all operations. There are two types of Nebraska Statements of Dissolution: (1) Dissolution by Incorporated(s) and (2) Dissolution by Court Order. A Dissolution by Incorporated(s) is filed when all the incorporates of a business entity agree to dissolve the business. It requires the signature of all the incorporates and must include the date of dissolution, the name of the business entity, and the name and address of the registered agent. A Dissolution by Court Order is filed when the court orders the dissolution of a business entity. It requires the signature of the court clerk and must include the date of dissolution, the name of the business entity, and the court order. Both types of Nebraska Statements of Dissolution must be notarized and submitted to the Nebraska Secretary of State with the applicable filing fees.
