The New Hampshire Form FLLC-3 Certificate of Cancellation is a document used to dissolve a limited liability company (LLC) in the state of New Hampshire. The form must be filed with the New Hampshire Secretary of State in order to officially close the LLC. There are two types of New Hampshire Form FLLC-3 Certificate of Cancellation: Voluntary Cancellation and Administrative Cancellation. A Voluntary Cancellation is used when the LLC’s members decide to dissolve the LLC. An Administrative Cancellation is used when the LLC has failed to meet its filing requirements and is automatically canceled by the state. The form requires the LLC’s name, the date of its formation, the registered agent’s name and address, and the LLC’s jurisdiction. The form must also be signed and dated by an authorized member of the LLC. Once the form is completed and filed, the LLC is officially dissolved and its legal existence is terminated.
