New Hampshire Form FP-5 Foreign Partnership Cancellation is a document used to officially cancel the foreign partnership status of a business registered in New Hampshire. This form must be completed and filed with the New Hampshire Secretary of State in order to dissolve the foreign partnership. There are two types of New Hampshire Form FP-5 Foreign Partnership Cancellation: a voluntary cancellation and a mandatory cancellation. A voluntary cancellation is when the foreign partnership decides to dissolve and the partners file the form with the Secretary of State. A mandatory cancellation is when the Secretary of State requires the foreign partnership to be dissolved due to a failure to comply with certain state laws. All partners must sign the form in order for it to be valid. Upon filing, the foreign partnership will no longer exist in the state of New Hampshire.
