This Agreement is entered into by and between a lessor and a lessee. The lessor leases to the lessee a site for placement of a metal guide radio tower transmitter for use by the county on the lessors property. The lessee agrees to indemnify, defend and hold lessor harmless from any and all liability, suits, demands and claims for property damage or personal injury claimed or caused to any person, or any other claim arising directly or indirectly out of the placement, use and operation of the tower. The lessee further agrees to assume defense on behalf of the lessor of any litigation brought against the lessor relating to the tower and pay all costs, expenses, attorney fees and monetary awards incurred by the lessor in litigation.
The New Jersey Radio Tower Lease and Indemnification Agreement is a legally binding contract entered into by a radio station or telecommunications company (referred to as the "Lessee") and the owner of a radio tower (referred to as the "Lessor"). This agreement outlines the terms and conditions under which the Lessee can lease the tower for broadcasting purposes, while also protecting both parties from any potential risks or liabilities. This agreement covers various important aspects such as lease duration, rental fees, lease renewal options, tower maintenance responsibilities, and indemnification clauses. It ensures that the Lessee has the permission to install and maintain broadcasting equipment on the tower, allowing them to transmit radio signals and other telecommunications services to the surrounding area. Under the New Jersey Radio Tower Lease and Indemnification Agreement, the Lessee agrees to pay a predetermined monthly, quarterly, or annual rental fee to the Lessor for the use of the tower. The lease duration can range from a few years to several decades, depending on the negotiated terms. Both parties may have the option to renew the lease agreement upon its expiration, subject to negotiation and agreement on new terms and rental fees. The agreement also specifies the responsibilities of each party regarding tower maintenance. The Lessee is typically responsible for maintaining and repairing the broadcasting equipment, while the Lessor retains responsibility for the structural integrity and regular maintenance of the tower itself. One crucial aspect of the New Jersey Radio Tower Lease and Indemnification Agreement is the indemnification clause. This clause ensures that the Lessee assumes responsibility for any damages, accidents, or injuries that may occur as a result of their use of the tower. This includes, but is not limited to, any legal claims, lawsuits, or liabilities arising from the Lessee's operations on the tower. In addition to the standard New Jersey Radio Tower Lease and Indemnification Agreement, there may be variations or additional agreements that cater to specific needs or circumstances. For example, there could be agreements tailored for temporary tower installations or specific tower sharing arrangements among multiple lessees. In summary, the New Jersey Radio Tower Lease and Indemnification Agreement is a vital contract that governs the leasing of radio towers for broadcasting purposes. It outlines the terms of the lease, rental fees, maintenance responsibilities, and establishes indemnification clauses to protect both parties.
