New Jersey Sample Corporate Consulting Agreement This Corporate Consulting Agreement (hereinafter referred to as the "Agreement") is entered into between C. Jones and Company, Inc. (referred to as the "Consultant"), a registered corporation in the state of New Jersey, and Para-Link, Inc. (referred to as the "Client"), a leading technology company also located in New Jersey. 1. Scope of Services: The Consultant shall provide professional consulting services specializing in public relations and general business strategies to the Client. These services may include but are not limited to: — Comprehensive public relations campaigns — Media relations and press release— - Brand management and marketing strategies — Crisis management and reputation repair — Strategic business planning and advisory — Market research ananalysissi— - Enhancing communication strategies — Developing effective business plans and models — Identifying growtopportunitiesie— - Implementation of business improvement initiatives 2. Term and Termination: This Agreement shall commence on the effective date stated below and shall continue for an initial term of one year unless terminated earlier by either party. Termination can occur if (a) one party provides written notice of termination at least 30 days prior to the desired end date or (b) if either party fails to comply with the terms and conditions set forth in the Agreement. 3. Compensation: The Client agrees to pay the Consultant a consulting fee as outlined in Exhibit A attached hereto. Payment terms shall be mutually agreed upon and specified in the invoice to be issued by the Consultant upon completion of each milestone or on a monthly basis. 4. Confidentiality: Both parties acknowledge that during the course of their business relationship, confidential information may be disclosed. Both the Client and the Consultant agree to treat such information as confidential, not to disclose it to any third party, and to use it solely for the purpose of fulfilling their obligations under this Agreement. 5. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the state of New Jersey. Any disputes arising out of or in connection with this Agreement shall be resolved through arbitration conducted in the state of New Jersey in accordance with the rules of the American Arbitration Association. 6. Entire Agreement: This Agreement represents the entire understanding between the parties and supersedes any prior agreements or understandings, whether written or oral, regarding the subject contained herein.
