New Mexico Uniform Corporate Resolution is a form used by corporations in New Mexico to document decisions made by the board of directors. It requires the signatures of the board of directors or, in the case of larger corporations, the signature of the president or other authorized corporate officer. It is a legal document that must be filed with the New Mexico Secretary of State in order to become effective. The New Mexico Uniform Corporate Resolution includes several types of resolutions, including resolutions to increase or decrease the number of authorized shares, to issue stock, to change the corporate name, to amend the articles of incorporation, to approve a merger or consolidation, to open a new bank account, to appoint officers and agents, to authorize a loan or to enter into other contracts, to approve investments, and to change the corporate seal. It is also used to approve certain corporate activities, such as entering into a joint venture.
