New Mexico Articles of Incorporation (Domestic Profit Corp) is a document filed with the New Mexico Secretary of State that officially forms a Domestic Profit Corporation. It is used to declare the creation of a new business entity, its purpose, the names and addresses of the incorporates, and the number of shares the corporation is authorized to issue. It also determines the rights and responsibilities of the shareholders and board of directors. There are two types of New Mexico Articles of Incorporation (Domestic Profit Corp): Standard Articles of Incorporation and Restated Articles of Incorporation. The Standard Articles of Incorporation is used to create a new Domestic Profit Corporation in New Mexico while the Restated Articles of Incorporation is used to amend the existing Articles of Incorporation. The Articles of Incorporation must include the following information: the name and address of the corporation, the name and address of the registered agent, the duration of the corporation, the purpose of the corporation, and the number of shares the corporation is authorized to issue.
