The Nevada (87A) Amendment to Foreign Limited-Liability Limited Partnership (NRS CHAPTER87A) is a set of statutes that outlines the requirements for amending a foreign limited liability limited partnership (LL LP) registered in the state of Nevada. This amendment allows for the alteration of the partnership agreement, rights and obligations of the partners, and other provisions of an existing foreign limited liability limited partnership. It also allows for the admission of new partners and the dissolution of existing partners. There are two types of Nevada (87A) Amendment to Foreign Limited-Liability Limited Partnership (NRS CHAPTER87A): the “Amendment to Foreign Limited-Liability Limited Partnership Agreement” and the “Amendment to Foreign Limited-Liability Limited Partnership Certificate.” The “Amendment to Foreign Limited-Liability Limited Partnership Agreement” allows for the alteration of the partnership agreement and other provisions of the existing foreign limited liability limited partnership. The “Amendment to Foreign Limited-Liability Limited Partnership Certificate” allows for the admission of new partners and the dissolution of existing partners. In order to amend a foreign limited liability limited partnership registered in the state of Nevada, the manager of the partnership must file the amendment with the Nevada Secretary of State. The amendment must include the new or amended partnership agreement and other documents required by NRS CHAPTER87A. The amendment must also be signed by all the partners and the manager of the partnership. Once the amendment is filed with the Nevada Secretary of State, it is effective upon filing.
