Nevada Amended Certification Designation Before Issuance of Class or Series (NRS78.1955) is a Nevada law that requires every issuer of a class or series of securities to file an amended certification of designation with the Secretary of State prior to the issuance of the security. This law applies to all securities registered with the Nevada Secretary of State, including those issued by corporations, limited partnerships, limited-liability companies, and limited-liability partnerships. The amended certification of designation must include a complete and accurate description of the security, including the name of the issuer, the type of security, the terms of the security, the offering price, the offering date, the maturity date, the interest rate, and any other information required by the Nevada Secretary of State. The amended certification must also be signed by an authorized representative of the issuer. There are two types of Nevada Amended Certification Designation Before Issuance of Class or Series (NRS78.1955): original amended certification and amended certificates. An original amended certification is used to register a new class or series of securities, while an amended certificate is used to make modifications to an existing class or series of securities.
